The Membership is designed for business owners who either run their own business or have recently acquired one. This Membership is particularly beneficial for those who handle their bookkeeping in-house but face challenges due to knowledge and skill gaps. If you dream of having a bookkeeping and business expert available to answer your questions and help you solve problems without incurring prohibitive costs, this Membership is for you. It also caters to those who aspire to grow their business while achieving a better work-life balance and who need fresh expert perspectives to identify new opportunities.

These Membership Terms and Conditions ("Agreement") govern your participation and use of the Membership (the "Membership", "Site") developed by Keeping Balance Pty Ltd ABN: 36 637 621 419 and form a legal agreement between you (the "Member") and Keeping Balance and the Membership.

This Agreement constitutes the entire and only Agreement between you and Keeping Balance and the Membership. It supersedes all prior agreements, conduct, representations, and understandings about the Membership. 

You warrant you are 18 years or older and have the legal capacity and authority to enter into this Agreement.

You are deemed to have read and accepted the Terms & Conditions of Membership by Keeping Balance Pty Ltd by proceeding with payment.

Terms and Conditions

Acceptance of terms

  • By subscribing to, accessing, downloading, or using our information, products, and services, you agree to these Terms and confirm that you have read and understood them.

  • We may update these Terms at any time by posting the new terms on our Site.

  • Continuing to use the Site after changes are posted means you accept the new Terms.

  • If you disagree with the changes, you must stop your subscription and use our products and services immediately.

  • 24/7 Access to a private community where you can ask questions about your business at any time.

  • Exclusive access to a business money expert with over 10 years of experience in bookkeeping and business development.

  • "Pop-Up" live professional development masterclasses with industry leaders to enhance your professional skills.

  • Tech Walkthroughs to learn the advanced functionalities of tools like Xero, Hubdoc, and Deputy through detailed tutorials.

  • Members receive a 50% discount on 1-hour personalised Money Meetings or Xero Training for in-depth expert advice.

Becoming a member

Registration

  • You can become part of the community by registering for your Membership via the registration process on our Site.

  • Membership is by monthly subscription.

  • You must provide accurate, complete, up-to-date Membership registration information. You are responsible for informing us of any changes to your registration information. 

  • We may request a form of identification to verify your identity anytime.

Password Security

As a Registered Member, you agree to:

a.        Keep your password confidential.

b.        Not share your password with anyone.

c.        Notify us immediately if your password is lost or compromised.

d.        Be responsible for all activity on this Site using your password.

Your personal information will be handled according to our Privacy Policy.

Membership Fees & Payment

  • The current monthly membership fee is $99, payable in advance.

  • A discount code will be available for personalised support booked through the website under "Current Services " within the SKOOL platform.

  • If a member cancels their Membership and subsequently requests to rejoin, they may do so at the current membership fee advertised on the website.

  • Payment is online via a credit or debit card and processed through Thrive Cart using Stripe as the payment gateway.

  • Keeping Balance Pty Ltd does not retain credit or debit card information. The privacy policy of the third-party payment processor manages the information you provide for processing payment.

  • Membership fees are in Australian Dollars. 

  • Membership fees charged to Australian residents include GST.

  • Keeping Balance Pty Ltd reserves the right to change fees at any time without notice. Please check the website for updated fees

Content & Delivery

  • Content is updated regularly to reflect the dynamic nature of business financial management.

  • Content is available to the member for the duration of the Membership subscription.

  • Upon cancellation, access to content will cease to be available after the last day of the billing cycle of the month of cancellation.

Delivery

  • The primary delivery method for content is online through the Skool platform, a space for established Australian-based business owners to improve their bookkeeping literacy and grow their businesses.

Member Obligations

Distribution of Material

  • All materials provided within this Membership are for your personal use only.

  • You are strictly prohibited from sharing, distributing, or passing on any materials, including PDFs, to non-members or individuals outside of this Membership.

  • You may not use, share, or repurpose any materials from this Membership without explicit written permission from the owner.

Conduct

  • You are encouraged to actively participate and contribute to community discussions. Your experience will be directly proportional to your involvement.

  • When asking questions, expect honest and direct answers. This community values transparency and straightforward communication.

  • This is not a place for negativity or dwelling on the downsides of business. We focus on solutions and constructive discussions that lead to real change.

  • We strive to maintain a positive and supportive environment. Any actions that undermine this environment will not be tolerated.

  • Treat all members with respect and courtesy. Disparaging remarks or unconstructive criticism will not be tolerated.

  • Our goal is to find solutions and make tangible improvements in business. Discussions should remain focused on positive outcomes and actionable strategies.

Active Engagement and Practice

  • To achieve progress and growth, you are encouraged to practice what you learn within this Membership.

  • Simply absorbing the material as theoretical knowledge is insufficient for achieving results. Commitment to applying the lessons and exercises is essential.

  • You are responsible for committing sufficient time and resources to learning and implementing the resources and training provided in the Membership to achieve reasonable results for your purpose.

Prohibited Activities and Consequences of Violation

Prohibited Activities:

While participating in and accessing the Membership, you agree you will not:

a. Collect personal data about other users for commercial or unlawful purposes.

b. Infringe on other users' privacy rights.

c. Violate the intellectual property rights of others.

d. Post anything that contains software viruses, worms, or any other harmful code.

e. Use manual or automated software, devices, script robots, or other means or processes to access our Site or any related data or information.

f. Record any calls, including live Q&A sessions, using any method, including but not limited to AI bots in Zoom or screen sharing software.

Consequences of Violation

Any violation of the prohibited activities listed above, including the recording of calls, will result in immediate termination of Membership without refund. Additionally, members who violate these terms may be subject to legal action.

Confidentiality Assurance

These prohibitions are in place to ensure the privacy and confidentiality of all participants. Members are expected to respect the privacy of others and uphold the integrity of the Membership community.

Refunds

  • Refunds are not provided for membership fees or products and services provided by us where you have been given access to Our Content, whether accessed by you or not unless we breach the Australian Competition and Consumer Act 2010

Cancellation

  • You may cancel your Membership with one month's notice.

  • Cancellation will take effect at the end of the current billing cycle. You will continue to have access to membership benefits until the end of the month, for which you have already paid.

Intellectual Property & Copywright

  • Copyright protects all content on this Site, including videos, templates, PDFs, and recordings (Our Content).

  • You may browse or print Our Content for non-commercial, personal, or internal business use. For any commercial use, copying, or reproduction, you must obtain our prior written permission.

  • Modifying Our Content for purposes other than personal or internal business use is strictly prohibited and violates our copyright and proprietary rights.

  • You acknowledge that you do not acquire any ownership rights by using the Site or Our Content.

  • The trademarks, logos, and service marks on our Site are the property of Keeping  Balance Pty Ltd.

  • You may not use these trademarks in connection with any product or service not affiliated with Keeping Balance Pty Ltd, in a manner likely to confuse consumers, or in a manner that disparages Keeping Balance Pty Ltd or its Membership.

  • Nothing on this Site grants any license or right to use any trademark without our express written permission.

  • You agree that damages may be inadequate for any breach of these Terms and acknowledge that Keeping Balance Pty Ltd may seek injunctive relief to protect its intellectual property rights.

Liabilty is Limited

Consumer Rights

  • The disclaimers, liability limitations, and indemnities within these Terms do not exclude your rights under Australian Consumer Law.

Third-Party Content

  • Keeping Balance Pty Ltd is not responsible for and accepts no liability for content uploaded, posted, transmitted, or otherwise made available on the Site by any person other than us.

Content Facilitation

  • Keeping Balance Pty Ltd will not be considered to have uploaded, posted, transmitted, or otherwise made content available on the Site simply by facilitating others to do so.

Non-Endorsement

  • Keeping Balance Pty Ltd does not endorse any opinion, advice, or statement from anyone other than us.

Use of Site

  • You agree that Keeping Balance Pty Ltd will not be liable for any loss or damage you incur as a result of using the Site, including, without limitation, damage caused by access delays, computer viruses, system failures, or malfunctions.

  • The Keeping Balance Pty Ltd Membership is operated by an experienced bookkeeper with over 10 years of expertise in bookkeeping and business development. This Membership is designed to provide support, guidance, and educational resources to business owners who manage their own bookkeeping and seek to improve their business practices.

Scope of Services:

  • Informational Purposes Only: The content provided within the Keeping Balance Pty Ltd Membership, including but not limited to live Q&A sessions, pre-recorded trainings, community discussions, and masterclasses, is intended for informational and educational purposes only.

  • No Professional Advice: The Membership does not offer, nor is it a substitute for, professional financial, taxation, legal, health, or other specific professional advice. Members are encouraged to seek the counsel of licensed professionals in these areas to obtain advice tailored to their individual circumstances.

  • No Guarantees: While the Keeping Balance Pty Ltd Membership aims to provide valuable insights and assistance, there are no guarantees of specific results. The effectiveness of the advice and guidance offered will depend on the unique circumstances of each business and the implementation of strategies by the members themselves.

  • Confidentiality and Privacy: To protect the privacy and confidentiality of all members, live Q&A sessions will not be recorded. Members are responsible for maintaining the confidentiality of their own business information when participating in community discussions and Q&A sessions.

  • Third-Party Services: Recommendations for third-party tools, such as Xero, Hubdoc, and Deputy, are based on professional experience. However, the Membership does not include setup services for these tools within the standard membership benefits. Additional support for these tools can be provided separately upon request.

  • Community Forum: The community forum is open to everyone to read. When posting a question on the forum, such as about Xero, all answers will be general in nature and based on the information provided. Specific help cannot be given without knowing the person's circumstances in depth. For personalised assistance, members are encouraged to book a private session to get access to their Xero and receive tailored support.

Acceptance of Terms

By joining the Keeping Balance Pty Ltd Membership, members acknowledge and agree to this disclaimer and understand the limits of the services provided. The Membership is designed to be a supportive and educational resource, helping business owners navigate the complexities of bookkeeping and business development with expert guidance and community support.

Indemnity

Indemnification

  • You agree to indemnify us against all actions, claims, demands, liabilities, costs, expenses, losses, and damages (including total legal fees) incurred by either party due to your use or attempted use of our information, products, or services, or any breach of these Terms by you or your agents.

Limitation of Liability

  • We are not liable for any damages arising from your use of, reference to, or reliance on information found on our Site or through our products or services.

Assignment 

  • Transfer or assignment of your Membership for any reason is not permitted under this Agreement. 

  • We may assign or transfer our obligations under these Terms at any time, subject to giving you four (4) weeks prior written notice.  

Dispute resolution 

  • Should a dispute arise between us, we strongly encourage you to contact hello@keepingbalance.com.au to seek a resolution. 

  • Any reasonable requests will be considered, and any refund agreed to is at the absolute discretion of Keeping Balance Pty Ltd.

  • Keeping Balance Pty Ltd will attempt to resolve any escalated dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

Applicable law 

  • These Terms shall be construed under and governed by the laws of the State of Queensland. You consent to the exclusive jurisdiction of the courts in Queensland to determine any matter or dispute that arises between you and Keeping Balance Pty Ltd.
